Cogna Educação (BVMF: COGN3 / OTCQX: COGNY) is the largest private educational company in Brazil and one of the largest private educational organizations in the world. OVERVIEW:
- Cogna Educação is one of the largest private educational organizations in the world, operating for over 70 years. In 2010, Cogna acquired IUNI Educacional Group, an institution which also offered on-campus undergraduate and graduate programs; in 2011, the highlight was the acquisition of Universidade Norte do Paraná (Unopar), the largest distance learning institution in the county.
- To crown this intense rhythm of acquisitions, in 2013, Cogna carried out the largest investment in its history: its merger with Anhanguera, thereby consolidating its leadership in both the on-campus and distance learning segments. On October 11, 2018, Cogna concluded the operation to acquire the controlling interest in Somos, the leading primary and secondary education group in Brazil, in yet another transformational step for the Company, making it a complete educational platform with an important presence in all segments of Primary & Secondary Education.
- Currently, Cogna has 844,000 on-campus and digital undergraduate students in its Kroton vertical, and 44,000 graduate students in its Platos vertical, served by 176 own Postsecondary Education units and 1,536 accredited Digital Education centers. In K-12 Education, the Saber vertical had 31,000 students distributed in 52 own schools/managed through contracts and 22,000 students distributed in 122 Red Balloon units, while the Vasta vertical had 1.5 million students served through approximately 4,200 partner schools using core and complementary content solutions.
- Since 2012, the Company is part of Novo Mercado, segment of B3 which unites the companies with the best governance practices, and they follow the recommendations of the Brazilian Institute of Corporate Governance (IBGC). They are a full corporation enterprise, with no group of controlling shareholders in charge, and the graph to the right demonstrates our ownership structure.

- The results of Cogna for the first quarter of 2023 represent the company’s eighth consecutive quarter of strong growth in Recurrent EBITDA and profitability (Recurring EBITDA Margin), demonstrating its ability to generate value through clear strategies implemented with discipline for almost 3 years. Furthermore, based on the expectations shared in previous releases, we started 2023 with net revenue growth in all three business units: Kroton, Vasta and Saber. The results continue improving and the company renews its expectations that our year 2023 will be marked by the combination of profitability and revenue expansion.
